TERMS OF SERVICE

1. Eligibility and Geographic Restrictions

You must be at least 18 years old and located in the United States to use PropTrak. Accessing the Service from outside the U.S., including through the use of VPNs or other location-masking technologies, is strictly prohibited. We enforce network restrictions to block foreign IP addresses and reserve the right to terminate access for violations of this policy.

2. Services Description

PropTrak is an AI-powered property management platform offering tools for rent collection, tenant screening, compliance monitoring, financial tracking, maintenance coordination, document automation, and reporting.

3. User Content and Data

You retain ownership of the data you input or upload to the Services ("User Data"). You grant us a limited, non-exclusive, royalty-free license to process User Data solely for the purpose of providing the Services.

We do not store or process any bank account information directly. All payment processing is handled securely by Stripe. By using the Services, you also agree to Stripe's terms of service.

4. AI Model Training and Data Use

To improve the functionality and performance of our AI systems, we may use anonymized and aggregated data for internal research and machine learning purposes. No personally identifiable information (PII) is used in model training.

You may opt out of AI model training by emailing legal@proptrak.ai within 30 days of accepting these Terms.

5. Payment Terms

Subscriptions are billed monthly or annually as selected. All fees are non-refundable unless otherwise stated. Failure to pay may result in suspension or termination of Services.

6. Prohibited Conduct

You agree not to:

• Reverse engineer or copy the Services
• Interfere with other users' access
• Upload malware or infringing materials
• Use the platform to harass or discriminate

We reserve the right to terminate accounts engaging in prohibited conduct.

7. Third-Party Services

The Services may integrate with third-party APIs (e.g., Stripe, PandaDoc, Twilio). We are not liable for third-party service availability or actions. Use of third-party tools is at your own risk.

8. Service Availability and Modifications

We may modify or discontinue parts of the Services at any time. We are not liable for any interruption or suspension of access.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We disclaim all express or implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Aletheia Technologies, Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

Aggregate liability under these Terms shall not exceed the amount paid by you to us in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Aletheia Technologies, Inc. and its affiliates from any claims, liabilities, damages, or expenses arising from your use of the Services or breach of these Terms.

Indemnification liability is capped at an amount equal to three (3) months' worth of subscription fees.

12. AI Disclaimers

Our Services include AI-generated outputs and predictive tools. You acknowledge that:

• AI outputs are probabilistic and not guarantees.
• You are solely responsible for verifying outputs before relying on them.
• The Company is not liable for decisions made based on AI results.

13. Arbitration Agreement (DRAA – Wilmington, Delaware)

By using the Services, you agree that all disputes, claims, or controversies arising out of these Terms or your use of the Services shall be resolved exclusively by final and binding arbitration in accordance with the Delaware Rapid Arbitration Act (DRAA) in Wilmington, Delaware.

You may opt out of this arbitration agreement by sending written notice to legal@proptrak.ai within 30 days of accepting these Terms.

Class actions, jury trials, and consolidated arbitrations are waived.

14. Class Action Waiver

You agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

15. Termination

We may terminate or suspend your access to the Services at our sole discretion, with or without cause. You may terminate your account at any time by written notice.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. The venue for any permitted legal dispute will be Wilmington, Delaware.

17. General Provisions

These Terms constitute the entire agreement between you and Aletheia Technologies, Inc. regarding the Services. If any provision is found unenforceable, it will be modified to reflect the original intent or severed if necessary.
